1. Scope and background

Knimbus Online Service (KOS) is a web-based collaborative research platform, which facilitates multiple searches to be conducted simultaneously across multiple sources and databases.

 

2. Subscription Terms

i. Knimbus Online Pvt. Ltd. (KOPL) hereby grants to Customer the limited, non-transferable and non-exclusive right to use KOS solely in accordance with the terms and conditions of this Agreement.

ii. Customer shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party KOS in any way; (ii) reverse engineer or access KOS in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the KOS.

 

3. Obligations of Subscriber

i. Customer and/or its agent shall have no authority to bind KOPL to any third party commitments of any nature and Customer shall not hold out as an authorized representative of KOPL in any manner whatsoever to any third party.

ii. Customer agrees to cooperate at any time when KOPL decides to bring down its network and interrupt access to the KOPL's server(s) to perform necessary maintenance and/or network upgrades.

 

4. Intellectual Property Rights

KOS is a service from KOPL and has been developed by customizing various open source technologies. KOPL is the owner of all proprietary rights in its respective trademarks and logos, and Customer agrees not to use such marks for any purpose without the prior written consent of KOPL.

 

5. Term and Termination

i. In the event of a breach or violation by the Customer of the terms of this Agreement, KOPL may terminate this Agreement forthwith. KOPL may anytime during the Term terminate this Agreement by serving a thirty (30) days notice without cause.

ii. Upon termination of this Agreement for any reason whatsoever, the Customer shall forthwith cease the use of the Services.

 

6. Disclaimer of Warranties

KOPL makes no express or implied warranties of any kind including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose, with respect to the KOS. The service are distributed and provided on an "as is, as available" basis. KOPL does not warrant that KOS will meet your requirements or that performance of the service will be uninterrupted or error-free including any errors or omissions in the search results obtained through use of the KOS.

 

7. Limitation of Liability and Indemnity

i. KOPL shall not be liable for any indirect loss, consequential or extra ordinary damages arising out of this Agreement.

ii. Customer agrees to indemnify and hold KOPL harmless against all damages, loss, claims, demands, expenses (including legal and professional expenses), costs and liabilities that KOPL may, at any time incur, as a result of breach of any of the Subscriber's obligation under this Agreement.

iii. KOPL shall use all reasonable efforts to provide the service on continuous basis. Neither KOPL nor Customer shall be liable or deemed in default of this agreement for any failure or delay in interruption in the online service or any failure of any equipment or telecommunication resulting from any cause or circumstances beyond the reasonable control of KOPL.

iv. Customer acknowledges and agrees that KOPL is not responsible for the accuracy of any information or data contained in KOS, and KOPL shall not be liable for any losses or damages resulting from reliance on any such information or data under any circumstances.

 

8. KOS Privacy Policy

i. We collect information: (a) When you register an account to become a KOS "end-user", such as your name, e-mail, employer, country, and a password. This information is collected through the KOS registration form or the Facebook Authentication API. (b) When you view and interact with KOS pages, features, and functionality. (c) Through cookies and Public IP address range.

ii. We use the information you provide to: (a) Recognize you, administer your account with us and customize the service experience. (b) Enable you to share your information and communicate with other Users. (c) Send you service or promotional communications through email or publish notices on the Knimbus website. (d) Connect you to opportunities by enabling other professionals to find you on Knimbus. (e) Create and distribute advertising relevant to your KOS experience. KOS may use your actions like sign-In, search and social actions to create social ads using your profile photo and name.

 

9. Governing Law and Jurisdiction

The law governing this Agreement shall be the laws of India and Courts at New Delhi shall have exclusive jurisdiction over any dispute arising hereunder.
